These Terms of Use (the “Terms”) govern access to and use of Collect Nova Portal (the “Portal”) operated by Collect Nova (“Collect Nova,” “we,” “us”). The Portal is a private client workspace. It is not a consumer-facing website, payment processor, CRM, or public recording archive. These website and portal terms are not the collections service agreement. Collections work, fees, and authorization are governed only by a signed service agreement.
By accessing the Portal, creating or using credentials, or viewing a recording or message, you agree to these Terms, the Privacy Policy, the Call Recording Notice, and the Compliance statement. If you do not agree, do not use the Portal.
1. Parties and authorized users
The Portal is offered only to (a) personnel of Collect Nova and (b) invited users of a client company that has a collections or recovery engagement with Collect Nova (each, a “Client”). You represent that you are at least 18 years old, have authority to bind yourself, and if you are a Client user, that you are authorized by your company to access recordings and account information for that company only.
Super administrators act for Collect Nova. Client users act for their assigned organization. You may not share credentials or permit access by any person who is not an authorized user.
2. Limited license
Collect Nova grants you a limited, non-exclusive, non-transferable, revocable license to access the Portal solely to review recordings and messages that your role and organization are permitted to see, and to communicate with Collect Nova about those matters. No other license is granted. You receive no ownership of recordings, software, trademarks, or documentation.
3. Client and user obligations
You agree to:
(a) use the Portal only for lawful, authorized business purposes related to the Client’s engagement with Collect Nova;
(b) keep login credentials confidential, use a strong unique password, and notify Collect Nova immediately of suspected unauthorized access;
(c) treat call recordings, account references, phone numbers, messages, and internal notes as confidential business information;
(d) access only data belonging to your assigned organization, and not attempt to probe, scrape, or circumvent access controls, row-level security, or playback restrictions;
(e) not download, copy, transmit, publish, or store recordings except as expressly permitted in writing by Collect Nova (downloads are disabled by default);
(f) not use recordings or Portal data to harass, threaten, discriminate, or violate any communications, privacy, collections, or employment law;
(g) comply with all laws that apply to your use, including call-recording consent, collections, consumer-protection, data-protection, and confidentiality laws in every relevant jurisdiction.
4. Recordings, consent, and representations
Recordings available in the Portal are created in connection with collections activity placed through Collect Nova’s telephony provider. Visibility to a Client is controlled by Collect Nova. A recording that is hidden, archived, or unassigned is not licensed to Client users.
Collect Nova and each Client represent that calls are placed and recorded only where legally permitted, including any required one-party or all-party consent, required verbal or written notices, and any restriction on recording of certain conversations. See the Call Recording Notice. If a recording was created or retained in error, Collect Nova may withdraw access immediately.
5. Communications area
Messages in the Portal are business communications about accounts or calls. They are not legal advice, not a substitute for formal legal process, and not a consumer dispute portal unless Collect Nova expressly designates them as such. Internal notes created by Collect Nova are confidential to Collect Nova and are never licensed to Client users.
You may not submit unlawful, defamatory, or deceptive content, or content that includes payment card numbers, government ID numbers, or health information unless Collect Nova has agreed in writing to receive that category of data.
6. Prohibited conduct
You may not reverse engineer the Portal; overload or attack it; introduce malware; use automated agents except as approved; impersonate another user; resell access; or use the Portal to build a competing product. You may not attempt to obtain Bandwidth URLs, storage paths, service-role keys, or another organization’s data.
7. Confidentiality
All Portal content is confidential. Client users may share it only with personnel of their company who have a need to know and who are bound by confidentiality no less protective than these Terms. Collect Nova may use Client information as described in the Privacy Policy and the Client’s services agreement.
8. Privacy and data protection
Processing of personal information is described in the Privacy Policy. Where Collect Nova processes personal information on a Client’s documented instructions as a service provider or processor, the Client remains the business or controller for that data, except for Collect Nova’s own account, security, and compliance records.
9. Security
Collect Nova implements administrative, technical, and physical safeguards appropriate to the nature of the Portal, including authenticated access, organization-scoped authorization, short-lived recording playback, and audit logging of playback and administrative actions. No method of transmission or storage is completely secure. You are responsible for the security of your devices and network.
10. Intellectual property
The Portal, its design, and Collect Nova marks are owned by Collect Nova or its licensors. Client names and marks remain the Client’s. Feedback you provide may be used by Collect Nova without restriction.
11. Third-party services
The Portal relies on infrastructure and telecommunications providers, including hosting, authentication, database, and voice/recording services. Their terms and availability constraints may affect the Portal. Collect Nova is not liable for outages or acts of those providers beyond its reasonable control.
12. Disclaimers
THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLECT NOVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Collect Nova does not warrant that recordings are complete, that every call will appear, or that playback will be uninterrupted. The Portal does not provide legal, credit, or collection-strategy advice.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLECT NOVA AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. COLLECT NOVA’S TOTAL LIABILITY ARISING OUT OF THE PORTAL WILL NOT EXCEED THE FEES PAID BY THE APPLICABLE CLIENT TO COLLECT NOVA FOR PORTAL ACCESS IN THE THREE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF NO SUCH FEES WERE PAID. Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the greatest extent permitted.
14. Indemnification
You and, if applicable, your company will defend and indemnify Collect Nova against claims, damages, and costs (including reasonable attorneys’ fees) arising from your misuse of the Portal, your violation of these Terms or law, your recording or sharing of a call without required consent, or your infringement of a third party’s rights.
15. Suspension and termination
Collect Nova may suspend or terminate access immediately if you breach these Terms, if your company engagement ends, if required by law, or if continued access presents a security, privacy, or compliance risk. Upon termination, your license ends. Surviving sections include confidentiality, IP, disclaimers, liability limits, indemnity, and governing law.
16. Changes
Collect Nova may update these Terms. The effective date will change. Material changes will be posted on this page or communicated through the Portal. Continued use after the effective date constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless a written services agreement between Collect Nova and the Client specifies another governing law, in which case that agreement controls for that Client. Exclusive venue lies in the state or federal courts located in Delaware, except that Collect Nova may seek injunctive relief in any jurisdiction to protect recordings or confidential information. EACH PARTY WAIVES A JURY TRIAL TO THE EXTENT PERMITTED BY LAW.
18. General
These Terms, together with the Privacy Policy, Call Recording Notice, Compliance statement, Cookie Notice, and any written services agreement, are the entire agreement for Portal use. If a services agreement conflicts, the services agreement controls for commercial terms; these Terms control Portal operations unless the services agreement expressly says otherwise. If a provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. You may not assign these Terms without Collect Nova’s consent. Collect Nova may assign them in connection with a reorganization or sale.
19. Electronic records and acceptance
You agree that these Terms and related notices may be provided electronically, and that clicking “Login,” signing in, or continuing to use the Portal constitutes your electronic signature and acceptance under the U.S. Electronic Signatures in Global and National Commerce Act and comparable state laws. You may request a copy of these Terms through the Legal Center.
20. Export, sanctions, and lawful use
You may not use the Portal if you are located in a comprehensively sanctioned jurisdiction, or if you are on a U.S. or other applicable restricted-party list, including lists administered by OFAC. You will not use the Portal in violation of export, re-export, or sanctions laws.
21. Class-action waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND COLLECT NOVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable as to a particular claim, that claim may proceed only in court on an individual basis as provided in Section 17.
